1. Scope of Application
These General Terms and Conditions of Sale (“T&Cs”) govern all product sales made via the websites www.sunbase.eu and shop.sunbase.eu to individual consumers.
By validating an order, the customer declares that they have read, understood, and unreservedly accepted these T&Cs.
Any contrary condition shall be deemed null and void unless expressly agreed in writing by SAS SunBase.
2. Products and Availability
Products offered are described as accurately as possible, including technical specifications, dimensions, materials, VAT-inclusive prices, and photos.
Visuals are provided for illustrative purposes only; minor variations may occur without affecting product quality or functionality.
All offers remain valid as long as they appear online and within the limits of available stock.
3. Orders and Validation
Any order placed on our websites constitutes an offer to purchase subject to acceptance by SAS SunBase.
Order validation, confirmed by email, constitutes the formation of the sales contract.
SAS SunBase reserves the right to refuse any order in the following cases:

Unresolved prior dispute,

Suspicion of fraud, or

Any order that appears abnormal or contrary to our legitimate interests.
4. Prices
Prices are expressed in euros (€), all taxes included (VAT), excluding delivery costs.
SAS SunBase reserves the right to modify prices at any time; however, the applicable rate is the one in effect at the time of order validation.
In the event of a manifest pricing error (e.g., an obviously incorrect or derisory price), SunBase may cancel the sale after informing the customer.
5. Payment
Payment is made online through secure methods: credit card, PayPal, or any other service offered at checkout.
Full payment is required at the time of order.
All transactions are encrypted (SSL) and processed by authorized payment providers; SAS SunBase does not store any banking data.
Failure to pay will result in immediate order cancellation.
6. Delivery
Delivery conditions, timeframes, and coverage areas are detailed in our Shipping Policy.
Timeframes are provided for information purposes only.
No delay may justify contract termination or compensation where the cause is beyond our control (force majeure, carrier delays, customs clearance, etc.).
7. Receipt and Transfer of Risk
Risk passes to the customer upon delivery of the product to the address provided.
It is the customer’s responsibility to check the condition of the package and note any written reservations to both the carrier and SunBase within 48 hours.
No claims will be accepted after this period without formal evidence.
8. Right of Withdrawal
The customer has a 14-calendar-day withdrawal period in accordance with European legislation.

Products must be returned new, complete, and in their original packaging.
9. Warranty and After-Sales Service
All our products are covered by the SunBase Limited Warranty, as detailed in the Warranty Terms.
This warranty applies in addition to the statutory conformity warranty (Articles L217-3 et seq. of the French Consumer Code).
Depending on the situation, SAS SunBase undertakes to:

repair or replace the defective product, or
-
refund the customer if no other solution is possible within a reasonable timeframe.
Damage resulting from misuse, accident, or unauthorized modification is excluded from coverage.
10. Liability
SAS SunBase shall not be held liable for indirect or immaterial damages (loss of profit, data, or use).
Our liability is strictly limited to the value of the relevant order.
No compensation beyond this limit shall be due unless otherwise required by law.
11. Force Majeure
Neither party shall be held liable for any failure resulting from an unforeseeable and irresistible event within the meaning of Article 1218 of the French Civil Code, including but not limited to natural disasters, strikes, wars, network failures, or pandemics.
Obligations shall be suspended for the duration of such events.
12. Ownership
Products remain the property of SAS SunBase until full payment of the price has been received.
Any transfer prior to full payment is null and void.
13. Data Protection
Personal data collected is processed in accordance with our Privacy Policy and the applicable General Data Protection Regulation (GDPR).
14. Governing Law and Disputes
These T&Cs are governed by French law.
Any dispute shall fall under the exclusive jurisdiction of the courts of Montpellier (France), unless otherwise provided by mandatory legal provisions.
In the event of a disagreement, the parties shall first seek an amicable resolution.
